These Terms of Use (“Terms”) are a legally binding agreement between you (“Customer,” “you,” or “your”) and DigiSignature, LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of the DigiSignature Analytics website, platform, software, and related services (collectively, the “Service”). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.

1. Eligibility and authority

You represent and warrant that you are at least the age of majority in your jurisdiction and legally capable of entering into a binding agreement. If you use the Service on behalf of an entity, you represent and warrant that you are authorized to bind that entity to these Terms.

2. Account registration and security

You may be required to register an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to promptly notify us of any unauthorized access, suspected compromise, or other security incident affecting your account.

3. Subscriptions, billing, and payment

Certain Service features require paid subscriptions. By subscribing, you authorize recurring charges for the selected plan until cancellation. You are responsible for all applicable taxes, duties, and similar governmental assessments, except taxes based on our net income. Payment processing is provided by third-party payment processors, and their terms apply to payment transactions.

4. Acceptable use and prohibited conduct

You agree not to use the Service in any way that violates applicable law, infringes rights of others, or threatens Service security or integrity. Prohibited conduct includes, without limitation, attempting unauthorized access, introducing malicious code, reverse engineering except as prohibited by law, interfering with Service operation, or using the Service for fraudulent, deceptive, or abusive activity.

5. Customer content and responsibility

You retain ownership of content you submit, upload, configure, or transmit through the Service (“Customer Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Customer Content solely as necessary to provide, maintain, secure, and improve the Service and comply with legal obligations. You represent and warrant that you have all rights necessary for Customer Content and that it does not violate law or third-party rights.

6. Metrics and analytics disclosures

The Service provides operational and engagement metrics generated through our own first-party systems and infrastructure. We do not use Google Analytics or equivalent third-party marketing or advertising trackers within the Service. You acknowledge that metrics are provided on an as-available basis and may vary due to external recipient systems, network conditions, and other factors beyond our reasonable control.

7. Privacy and data protection

Our collection, use, storage, and disclosure of personal information are governed by our Privacy Policy, which is incorporated by reference into these Terms. Where required by law, you are responsible for providing appropriate notices and obtaining required permissions from your contacts and end users for your use of the Service.

8. Third-party services

The Service may depend on third-party providers for infrastructure, payment processing, and related operational functions. We are not responsible for third-party products or services not under our direct control.

9. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGISIGNATURE, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US FOR THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless DigiSignature, LLC and its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

12. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access immediately, with or without notice, where necessary for security, legal compliance, risk prevention, non-payment, or violation of these Terms. Sections that by nature should survive termination shall survive, including without limitation payment obligations, disclaimers, liability limitations, indemnification, and governing law provisions.

13. Governing law and venue (New York)

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to personal jurisdiction and venue in those courts, except where mandatory law requires otherwise.

14. International use

The Service is operated from the United States and made available to an international clientele. If you access the Service from outside the United States, you are responsible for compliance with local law. You acknowledge that information may be processed in the United States and other jurisdictions where our service providers operate, subject to applicable legal safeguards.

15. Changes to these Terms

We may revise these Terms from time to time. Updated Terms will be posted with a revised effective date. Your continued use of the Service after updates become effective constitutes acceptance of the revised Terms.
